Terms of Service.

Acceptance
These Terms of Service ("Terms") govern access to and use of the Spot Suite platform, including spot-suite.com, associated product sites, and the SaaS applications made available through a Customer Environment (collectively, the "Service"). The Service is operated by Spot Cloud B.V., registered in the Netherlands ("Spot Cloud", "we", "us"). By creating an account, signing an order form, or using the Service, you agree to these Terms on behalf of yourself or the organisation you represent ("Customer", "you").
The service
Spot Suite provides enterprise software applications for regulated environments, including file transfer operations (xEvolve), cloud cost visibility (Cloud Horizons), TLS certificate management (Automate Certificates), IP address management (Spot IPAM), joiner-mover-leaver operations (OpsDesk), endpoint DNS filtering (ClearScreen), Entra access reviews (Access Fabric), Microsoft control records (Control Ledger), Azure guardrail drift records (Guardrail Ledger), and related tooling. We grant Customer a limited, non-exclusive, non-transferable right to use the Service during the subscription term, subject to the plan selected and any usage limits stated in the order form or pricing page. We may update features, interfaces, and underlying infrastructure from time to time, provided such changes do not materially reduce core functionality covered by the active subscription.
Accounts
Customer is responsible for all activity under its accounts and for maintaining accurate billing and contact information. Administrative users must use strong authentication methods where offered, including multi-factor authentication. Customer must not share credentials across individuals or reuse personal accounts for production workloads. Spot Cloud may suspend access if we reasonably believe an account has been compromised or is being used in violation of these Terms.
Acceptable use
Customer will use the Service only for lawful business purposes and in compliance with applicable regulations. Without limitation, Customer must not: (a) attempt to gain unauthorised access to other tenants, systems, or data; (b) transmit malware, conduct denial-of-service attacks, or probe network boundaries without written permission; (c) use the Service to store or process content that infringes third-party rights or violates export control or sanctions law; or (d) reverse engineer the Service except where expressly permitted by mandatory law. We may investigate suspected violations and cooperate with law enforcement where required.
Fees
Subscription fees, billing intervals, and any overage charges are set out in the applicable order form or self-service checkout. Unless stated otherwise, fees are quoted exclusive of VAT and other applicable taxes. Invoices are due within the payment period shown on the invoice. Late payments may incur interest at the statutory rate permitted under Dutch law and may result in suspension after reasonable notice. Fee disputes must be raised in writing within thirty (30) days of the invoice date.
Liability
The Service is provided on an "as is" and "as available" basis to the extent permitted by law. Spot Cloud does not warrant uninterrupted or error-free operation. Our aggregate liability arising out of or related to the Service or these Terms is limited to the fees paid by Customer for the Service in the twelve (12) months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, or consequential damages, including lost profits or data, except where liability cannot be excluded under mandatory law. Nothing in these Terms limits liability for fraud, wilful misconduct, or death or personal injury caused by negligence.
Termination
Either party may terminate for material breach if the breach is not cured within thirty (30) days of written notice. Customer may cancel a subscription at the end of the current term through the account portal or by written notice before renewal. Upon termination, access to the Service ends at the close of the paid period unless earlier suspension applies. Customer may export Customer Data during a limited wind-down window described in the Data Processing Addendum or product documentation. Sections that by nature should survive termination — including fees owed, liability limits, and governing law — remain in effect.
Governing law
These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law rules. The courts of Amsterdam, the Netherlands, have exclusive jurisdiction over disputes arising from or relating to these Terms, subject to mandatory consumer protections where applicable. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
